ACQUISITION OF SHARES IN LIGHTHOUSE
Shareholders and noteholders are advised that Resilient participated in the equity raise of Lighthouse Capital Limited
(“Lighthouse” or “LTE”) on 12 August 2021, subscribing for 144 510 258 LTE shares at a price of R8,10 per share,
for an aggregate consideration of R1,171 billion (the “acquisition”). Following the acquisition, Resilient will hold
41,3% of Lighthouse’s shares in issue (prior to the acquisition Resilient held 40,4% of Lighthouse’s shares in issue).
Resilient’s policy is to hold sufficient interest in investments to provide it with significant influence over the companies
in which it is invested. The acquisition is pursuant to this policy.
Additional required information
Lighthouse invests globally in direct property, and in listed real estate and infrastructure securities. Lighthouse has
primary listings on both the Official Market of the Stock Exchange of Mauritius Ltd and the Main Board of the JSE

Lighthouse’s condensed unaudited consolidated financial results for the three and six months ended 30 June 2021
(prepared in terms of International Financial Reporting Standards):

Categorisation of acquisition
The acquisition, when aggregated with all acquisitions of LTE shares in the last 12 months, is categorised as a
